This Privacy Policy describes how The TMHub LLC, a New Jersey limited liability company (“The TMHub,” “we,” “us,” or “our”), collects, uses, discloses, safeguards, and otherwise processes personal information in connection with The TMHub platform, including associated software, applications, features, documentation, website, and related services (collectively, the “Platform”).

This Privacy Policy applies to personal information collected:

Through use of the Platform;

Through our website;

Through communications with us, including support inquiries and account interactions; and

Through related business operations.

By accessing or using the Platform, you acknowledge and agree to the practices described in this Privacy Policy.

1. Scope and Roles Under Data Protection Laws
1.1 The TMHub as a Service Provider / Processor

The TMHub primarily provides a business-to-business software platform to law firms and legal professionals. In most cases, law firm customers upload and manage information relating to their clients, matters, trademarks, deadlines, documents, and internal workflow data (“Customer Data”).

With respect to Customer Data that contains personal information, the applicable law firm or organization acts as the “Controller” or “Business” under applicable data protection laws, and The TMHub acts as the “Processor” or “Service Provider,” processing personal information solely on behalf of and under the instructions of the Customer.

In this role, The TMHub does not independently determine the purposes or means of processing such Customer Data except as necessary to provide, maintain, secure, and improve the Platform in accordance with contractual obligations.

1.2 The TMHub as Controller

The TMHub acts as a Controller with respect to personal information that it collects directly for its own business purposes, including:

(a) Account registration and administrative information;
(b) Billing and payment-related information;
(c) Website visitor information;
(d) Marketing communications;
(e) Direct communications with individuals; and
(f) Security, fraud prevention, and compliance activities.

2. Categories of Personal Information Collected
2.1 Information Provided Directly by Users

We may collect personal information that is voluntarily provided to us, including:

(a) Identification Information, such as full name, professional title, organization name, and business contact details.

(b) Contact Information, including email address, telephone number, mailing address, and related communication details.

(c) Account Credentials, including login information and authentication-related data.

(d) Billing Information, including payment method details, billing addresses, and transaction records, processed through secure third-party payment processors.

(e) Customer Data, including information uploaded to the Platform by Customers and Authorized Users, which may contain personal information relating to clients, trademark applicants, business entities, representatives, and related parties.

2.2 Information Collected Automatically

When individuals access or use the Platform or website, we may automatically collect certain technical and usage information, including:

(a) Device Information, including IP address, browser type, operating system, device identifiers, and general geographic location derived from IP address.

(b) Usage Information, including login timestamps, features accessed, activity logs, error reports, and interaction data.

(c) Log Data, including server logs, access logs, and system performance data.

This information is collected to maintain security, ensure system integrity, and improve Platform functionality.

2.3 Information from Third-Party Sources

The Platform may incorporate publicly available intellectual property data from government agencies and other third-party data sources. Such data may include publicly available names, filings, status information, and related records. The TMHub does not control the content or accuracy of such third-party data sources.

3. Purposes of Processing

The TMHub processes personal information for the following purposes:

3.1 Provision of the Platform

To operate, maintain, and provide access to the Platform, including authentication, workflow management, monitoring features, reporting tools, and account administration.

3.2 Customer Support and Communications

To respond to inquiries, provide technical support, deliver service-related notices, and communicate important information regarding the Platform.

3.3 Billing and Financial Administration

To process subscription payments, manage invoices, maintain financial records, and comply with applicable tax and accounting requirements.

3.4 Security and Integrity

To detect, investigate, and prevent fraud, unauthorized access, misuse, abuse, or security incidents, and to maintain the integrity and reliability of the Platform.

3.5 Legal Compliance

To comply with applicable laws, court orders, regulatory requirements, or lawful governmental requests.

3.6 Platform Improvement

To analyze usage patterns, evaluate system performance, and improve functionality, reliability, and user experience.

4. Legal Bases for Processing

Where applicable under U.S. state laws or international data protection laws, The TMHub processes personal information on the following bases:

(a) Performance of a contract;
(b) Legitimate business interests;
(c) Compliance with legal obligations;
(d) Consent, where required by law.

5. Disclosure of Personal Information

The TMHub does not sell personal information.

We may disclose personal information under the following circumstances:

5.1 Service Providers

We may share personal information with third-party vendors that provide services necessary to operate the Platform, including cloud hosting providers, infrastructure providers, payment processors, analytics providers, and customer support tools. These vendors are contractually obligated to protect personal information and process it only for specified purposes.

5.2 Legal Obligations

We may disclose personal information when required by law, subpoena, court order, or other lawful governmental process, subject to applicable legal protections.

5.3 Business Transactions

In connection with a merger, acquisition, corporate reorganization, financing, or sale of assets, personal information may be transferred as part of the transaction, subject to appropriate safeguards.

6. Data Retention
6.1 Customer Data

Customer Data is retained for the duration of the Customer’s active account. Upon termination of the account, Customers may export their data within the timeframe specified in the Terms of Service. Following that period, data may be permanently deleted in accordance with system policies.

6.2 Administrative and Financial Records

The TMHub retains account and billing records as necessary to comply with legal, regulatory, accounting, and tax obligations.

6.3 Security and Log Data

Security logs and related system data may be retained for reasonable periods necessary to maintain security and investigate incidents.

7. Data Security

The TMHub implements commercially reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, disclosure, alteration, or destruction.

However, no method of transmission over the internet or electronic storage is completely secure. Users are responsible for maintaining the confidentiality of account credentials and for implementing appropriate security practices within their own organizations.

In the event of a confirmed material security incident affecting Customer Data within The TMHub’s systems, The TMHub will notify the affected Customer without unreasonable delay and provide information reasonably necessary for the Customer to comply with its legal obligations.

8. International Transfers

The TMHub primarily operates within the United States. If personal information is transferred internationally, The TMHub will implement appropriate safeguards consistent with applicable law.

9. Individual Rights

Depending on applicable law, individuals may have rights to request access to, correction of, or deletion of personal information.

Requests relating to Customer Data should be directed to the applicable Customer (law firm or organization) acting as Controller. The TMHub will assist Customers in responding to lawful data subject requests as required by applicable law and contractual obligations.

10. Cookies and Similar Technologies

The TMHub website may use cookies and similar technologies to enhance functionality, analyze usage, and improve user experience. Users may manage cookie preferences through browser settings.

11. Children’s Privacy

The Platform is not intended for individuals under the age of 18. The TMHub does not knowingly collect personal information from children.

12. U.S. State Privacy Rights

Residents of certain U.S. states may have additional rights under applicable privacy laws. The TMHub does not sell personal information and does not share personal information for cross-context behavioral advertising as defined under applicable law. 13. Updates to This Privacy Policy

The TMHub may update this Privacy Policy from time to time. Updates will be reflected by revising the “Last Updated” date. Continued use of the Platform after updates constitutes acceptance of the revised Privacy Policy.
